track bankrupt2?
« on: January 20, 2004, 08:33:07 PM »
i just spoke with track. They are not filling for chapter 7 or 11.They are forming basically one company under columbia 300.So amf300, track, and columbia will run as one company. This move is so allow all three companies to run more efficently. This move will save distributors to save money on shipping. So they can place one order instead of 3 diiierent ones,
I hope this clears things up.

For those of you with questions, following please find a copy of a letter that was sent out to our distributors, etc.

Dawn Warren

In the last few days we have received inquiries regarding Track’s filing of Chapter 7.  At this time, I would like to address your questions and concerns.

Since Track Inc. was acquired in 1990 and relocated to San Antonio it has been assumed that it was owned by Columbia Industries, Inc.  Nevertheless, Track Inc. was a separate entity.

The sales function of Track Inc., has been assumed by a new subsidiary of Columbia Industries, Inc., called Track International Inc.  Track International, Inc. received no assets from Track, Inc., but will provide customers with the innovative, high quality bowling products as Track, Inc. had done in the past.   This reorganization will afford both Columbia Industries and Track International, Inc. with many new opportunities and synergies going forward.  Many of these will center on the customer service areas of the business including invoicing, order entry, shipping, receivables, programs and etc.  The current goal is to eliminate some of the duplication of effort for both companies, as well as our distributors throughout the world.

To insure a smooth transition, all of the former Track, Inc. employees have been hired by Track International, Inc.

I hope this answers any questions you may have and I want to thank you for your continued support of Track International, Inc.

Sincerely,

Del Warren
President
Track International, Inc.

please explain the following:

if sales function of track inc is being transferred to track int'l, but no assets are being transferred from track inc, who is making track balls for track int'l to sell?

what is happening to track inc assets if they aren't being transferred?  is columbia going to make a bid on these assets?  who owns track int'l?

how can track inc transfer it's sales function (an asset) to another entity while undergoing a bankruptcy proceeding?

i assume your attorneys are in charge of your commentary . . . but what track has told its consumers so far leaves alot to be desired.

BadShot, it's all done with smoke and mirrors.  The "sales function" refers to the sales and marketing personnel (I assume), who are now employees of Columbia, so "the sales function" continues as before.

Columbia doesn't require any of Track's physical assets, which were probably not much more than some furniture and fixtures, to make bowling balls.  Track's balls are being made by Columbia, as before.  Only the paperwork has changed.

That's my take on it, for what it's worth.  I doubt that any more details will be forthcoming.
